These terms and conditions govern Customer’s acquisition and use of Speedback services. These Terms and Conditions (“Terms” or “Agreement”) represent a binding agreement between Speedback and Customer. 

By accepting these Terms, by (1) executing a Services Agreement that references these Terms, (2) using any of Speedback’s services, (3) clicking a box indicating acceptance, Customer agrees to these Terms. If the individual accepting these Terms is accepting on behalf of a company or other legal entity, such individual represents that they have the authority to bind such entity and its affiliates to these terms and conditions, in which case the term “Customer” shall refer to such an entity and its affiliates. If the individual accepting these Terms does not have such authority, or does not agree with the terms within these Terms, such individuals must not accept these Terms and may not use the Services.

This represents a binding agreement that is effective between Customer and Speedback as of the date of Customer accepting these Terms (the “Effective Date”). Speedback reserves the right to modify these terms at any time. Customer’s continued use of Speedback Services after any changes to our Terms indicates Customer’s acceptance of all such changes. Customer agrees to review the terms on a regular basis.

1.1 About Speedback. Thank you for using Speedback, a digital health monitoring and coaching platform operated by Equitech Private Limited (Company Registration No. 202405690G), a company  incorporated in Singapore and having its registered address at 140 Robinson Road, #15-01 Tahir Building, Singapore 068907 ("Speedback", "we", "us", or "our"). 

We have partnered with your hospital, institution or organization (your “Care Provider”) (as our customer) to provide you (a “User”) with access to services powered by Speedback’s technology. Your use of Speedback is governed by the contract that we have signed with your Care Provider (the “Agreement”) in addition to the terms and conditions outlined in this document (the “Terms”).

1.2 Platform Overview. Speedback comprises:

1.2.1. WhatsApp Communications: Secure messaging functionality enabling communication between you and your hospital, institution or organization (“Care Provider”);

1.2.2. Web-based Health Passport: A digital platform for storing, tracking, and managing your health data and monitoring your progress;

1.2.3. Associated Services: Related features, tools, and functionalities provided through our platform;

(collectively, the "Platform"). 

1.3 Acceptance of Terms. By accessing or using the Platform or by creating an account with us, you acknowledge that you have read, understood, and agree to be bound by the Agreement, these Terms, and our Privacy Policy. These Terms constitute a legally binding agreement between you and Speedback. If you do not agree to these Terms of Use and/or our Privacy Policy, please do not use the Platform. Speedback reserves the right to modify these terms at any time. Your continued use of the Platform after any changes to our Terms indicates your acceptance of all such changes. You agree to review the terms on a regular basis.

2. Speedback Services

2.1 The Platform facilitates remote communication between you and your Care Provider through encrypted messaging channels for your Care Provider to monitor this data remotely. 

2.2 The Platform enables you to track and monitor certain key types of data (e.g. glucose levels, diet, physical activity, sleep, mood, blood pressure and medications, weight and heart rate) which you provide for your Care Provider to evaluate your health and lifestyle habits and to provide you with health coaching relating to those habits. 

3. Care Provider Services

3.1 Your Care Provider is paying for you to use the Platform. You are required to register an account in order to access and use the Platform. This account registration is based on the contact information and registered mobile number that your Care Provider provides to us. You are fully responsible for the activities of your account and maintaining the confidentiality of account access information. In using the Platform, you agree to immediately notify us and your Care Provider of any compromise to your account access information or any other breach of security. We are not liable for your failure to maintain the security of your account access information.

3.2 Various health and wellness services may be offered by your Care Provider on the Platform, including remote monitoring, health coaching, and other health and wellness services (the “Care Provider Services”). All requests or appointments for Care Provider Services shall be subject to the Care Provider’s in their sole discretion and each service accepted by you and the Care Provider shall constitute a separate agreement between the Care Provider and you, to which Speedback is not a party to. 

3.3 The Platform merely provides communication and other supporting services, and does not provide or engage in Care Provider Services. Neither the Platform, Speedback, nor any third parties who promote the Care Provider Services, facilitate the provision of the Care Provider Services or provide you with a link to the Care Provider Services shall be liable for any professional advice you obtain from your Care Provider via the Platform. Neither Speedback nor the Platform shall be liable for any referrals made by your Care Provider via the Platform to any third parties, including but not limited to specialists or laboratories. Speedback does not take on any duty of care to you.

4. Medical Disclaimer

4.1 Speedback is a technology platform only and does not provide healthcare services, medical advice, diagnosis, or treatment. The Platform serves solely as a communication and data management tool to facilitate your interactions with your Care Provider. The Platform is for the use of healthcare professionals professionals authorized by their Care Provider is not a replacement for experienced clinical or professional judgment. We assume that our clinical users are able to exercise sound medical judgment. The Platform is not intended to be, and should not be considered a substitute for professional medical judgment or clinical care, a diagnostic tool for any medical condition, or a therapeutic intervention or treatment modality.

4.2 You acknowledge and agree that all health-related decisions should be made in consultation with qualified healthcare professionals. Any health recommendations provided through the Platform are for informational purposes only. The Platform does not replace regular medical examinations, consultations, or prescribed treatments. 

4.3 Emergencies / urgent conditions: This Platform does not monitor your parameters in real time and/or on an ongoing basis and does not serve as an emergency monitoring service. If you have an urgent condition or emergency, please contact emergency services immediately, and seek immediate medical attention at the nearest hospital or clinic. Do not rely on the Platform for urgent medical assistance. 

4.4 The Platform may rely upon, contain, or provide you with data or other content furnished by your Care Provider or third parties (collectively referred to below as “other parties”), and/or links to sites or resources furnished by other parties. We are not responsible for the availability of data, content, sites or resources provided by other parties, and we do not endorse and are not responsible or liable for any content, guidelines, advertising, products, services, or other materials furnished by other parties and incorporated into or made accessible through the Platform, or that are advertised on or available from other parties’ sites or resources. We are not a party to, nor are we responsible for, any transactions or relationships between you and any other party.

4.5 Your Care Provider may display, publish or make available content that is not provided or published by Speedback (including for example, content provided by third party content aggregation services or information providers). Such content is the sole responsibility of the person or entity that makes it available. Speedback is not responsible for such content, and does not have control over the selection thereof, nor does Speedback routinely monitor such content. Speedback makes no representations or warranties as to the veracity or accuracy of such content, the reproduction and use of which may be governed by the third party content provider’s terms of use.

5. Personal Data

You confirm that all information and details provided by you to us via the Platform are true, accurate and up to date in all respects and at all times. Your access or use of the Platform is also subject to our Privacy Policy.

6. Acceptable Use

6.1 When using the Platform, you must conduct yourself properly and appropriately having regard to all applicable ethical, legal, and professional requirements and duties. We and your Care Provider reserve the right to terminate or suspend your account in any circumstances where we or they believe it is warranted. 

6.2 Without limiting the terms above, you agree in particular to abide by the following requirements and restrictions in relation to the Platform. You will:

6.2.1. Comply with all applicable laws and governmental regulations, including, but not limited to, all privacy, patient care, intellectual property, and export control laws and regulations.

6.2.2 Comply with all applicable rules and policies of your Care Provider.

6.2.3.Treat other individuals with respect when interacting through the Platform.

6.2.4 Obtain (or make sure your Care Provider has obtained) all required consents, authorizations, and permissions to upload or otherwise provide data to the Platform.

6.2.5 Use the Platform only in connection with your relationship with your Care Provider.

6.2.6. Maintain the confidentiality of all information in accordance with your Care Provider’s confidential information sharing policy; and upon receiving any information in an unauthorized manner or form, immediately inform your Care Provider of the same.

6.3 You agree not to: 

6.3.1. use the Platform for any illegal or unauthorised purpose, or in any manner which in Speedback’s opinion, is harmful to Speedback or another person;

6.3.2. interfere, disrupt or misuse the Platform, including by introducing viruses, trojans, worms, or other malicious or harmful content;

6.3.3. attempt to gain unauthorised access to the Platform, its databases, or the servers on which the Platform is hosted; 

6.3.4. change, modify, adapt or alter the Platform;

6.3.5. Access the Platform through any means other than the interface(s) provided by us or your Care Provider, or use any means to scrape or mine any data or other content associated with any of the Platform;

6.3.6. Use the Platform in order to build, train, or test a similar or competitive product or service;

6.3.7 Post or transmit to or through the Platform any unauthorized material, including but not limited to material that in our, or your Care Provider’s, opinion is likely to cause annoyance or harassment, is detrimental to or in violation of Speedback’s or any third party’s systems or network security, or is libelous, defamatory, racist, obscene, discriminatory, threatening, violent, hateful, pornographic, profane, or unlawful

6.4 User-Generated Content

6.4.1. Your Data: You retain ownership of personal health data you input into the Platform

6.4.2. License to Speedback: You grant Speedback a limited license to process your data solely to provide Platform services

6.4.3. Aggregated Insights: Speedback may use anonymised, aggregated data for service improvement and research purposes

7. Intellectual Property

7.1 The Platform constitutes, contain, and are powered by our proprietary software, algorithms, and other intellectual property. You agree not to license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit our intellectual property, in whole or in part. You also agree not to modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer our intellectual property, in whole or in part. You will not remove or destroy any copyright notices or other proprietary markings on the Platform or platform or their output.

7.2 We have authorized your Care Provider, rather than you directly, to access and use the Platform as outlined in our Agreement. Your Care Provider may allow you to exercise those rights (while they remain in effect) on its behalf, but you do not receive any separate or additional rights from Speedback under the Agreement or these Terms. We reserve all other rights to our intellectual property.

8. Liability

8.1 Our Agreement with your Care Providers may include various warranties between us and them. BUT AS BETWEEN US AND YOU, THE PLATFORM IS PROVIDED “AS IS” WITH ALL FAULTS, AND TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, WE DISCLAIM ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE ARISING (INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS, ACCURACY, AVAILABILITY, OR NON-INFRINGEMENT). IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INCIDENTAL, CONSEQUENTIAL, OR OTHER INDIRECT DAMAGES. 

8.2 While Speedback shall use reasonable efforts to ensure that availability of the Platform shall be uninterrupted and that transmissions shall be error-free, this cannot be guaranteed. Also, your access to the Platform may also be occasionally suspended or limited to allow for repairs, maintenance, or the introduction of new services. We shall attempt to limit the frequency and duration of any such suspension or restriction and use reasonable efforts to notify you in advance.

9. Indemnity

You agree to indemnify, defend and hold harmless Speedback, its officers, directors, employees and agents from and against all claims, demands, losses, expenses, damages, costs and liability, including reasonable attorneys' fees, arising out of or in connection with any breach of these Terms, any breach of any applicable law by you, your breach of any third party’s rights, your use of the Platform or any activity related to your use of the Platform (including but not limited to infringement of third parties' worldwide intellectual property rights or negligent or wrongful conduct) or any other person accessing the Platform using your Username and password. This Clause shall survive the termination or expiration of these Terms (howsoever caused).

10. Termination

10.1 We reserve the right to terminate or suspend your use of the Platform without prior notice to you, at any time and for any or no reason including inappropriate behaviour on the Platform. Without limiting the foregoing, if you breach these Terms or conduct yourself in a manner that we deem to be detrimental to the integrity, security and operation of the Platform, or any information systems connected or in operation with the same, we reserve the right to suspend or permanently terminate your access to the Platform for any reason in our sole and absolute discretion.

10.2 You agree and acknowledge that any suspension or termination of your access to the Platform may be effected without prior notice, and agree that the Platform may immediately deactivate. Further, you agree and acknowledge that to the maximum extent permitted under applicable law, we shall not be liable for the discontinuation or termination of your access to the Platform.

11. Security

11.1 Speedback shall endeavour to use available technology to protect the security of communications made through the Platform. However, Speedback does not accept any liability for the security, authenticity, integrity or confidentiality of any transactions and other communications made through the App that is beyond our reasonable control or managed by other third parties.

11.2 You acknowledge that internet communications may be susceptible to interference or interception by third parties, and that Speedback makes no warranties that the Platform is free of infection by computer viruses or other unauthorised software.

11.3 You are responsible for:

11.3.1 taking appropriate steps to keep your information, software and equipment secure, including clearing your internet browser’s cache (whether on your mobile device or otherwise) after using any features, services, tools, directories or content on the App; and

11.3.2 ensuring that your mobile device, including its operating systems and/or software, through which you use the Platform is maintained and kept up to date – neither Speedback nor the Platform will be responsible or liable for any security lapses or issues such as data loss arising from your failure to keep your mobile device, including its operating systems and/or software up to date.

12. Governing Law and Jurisdiction

These Terms and all issues regarding your use of the Platform are governed by Singapore law and shall be subject to the exclusive jurisdiction of Singapore courts.

13. ​​Dispute Resolution

Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, and which rules are deemed to be incorporated by reference into these Terms of Use. The Tribunal shall consist of one arbitrator and the language of the arbitration shall be English.

14. Entire Agreement

These Terms, as supplemented by our Privacy Policy and applicable provisions of the Agreement, are the entire agreement between us and you with respect to the subject matter hereof.

15. Amendments and Contact

These Terms may be varied from time to time by notice to you and, by continuing to use the Application, you agree to be bound by the then current Terms.
